Every reputable organization maintains a well-structured, well-maintained, and well-governed organization composed of the IB Board of Governors and six committees, namely Access and Advancement, Audit, Education, Finance, Human Resources, and Governance. Several committees of the organization are based on respect, representation, and collaboration. The Board of Governors is responsible for appointing the Director-General, determining the IB's strategic direction, adopting its mission statement, setting policy, ensuring the IB's financial management, and ensuring IB Diploma Programme examinations and other assessments of students. There can be anywhere from 15 to 25 members on these boards of governors. In addition to the proposal of the governance committee, the Board selects members from the nominations of the Heads Council, Regional Councils, and the Board. The director-general (non-voting), chair of the Examination Board, and chair of the Heads Council are the only ex officio positions, in order to encourage diversity among gender, culture, and geography.
There is a Director-General and an Executive Team at the IB as well as the Board of Governors. Additionally, the Director-General holds each member of the executive team responsible for the work they do on behalf of the IB.
